If you do not agree to all the terms and conditions contained herein, you may not access or use the platform. These terms apply to all users, whether you are a registered investor, prospective investor, or casual browser of the platform. Your continued use of the platform constitutes your acceptance of any updates or amendments to these terms.

You must be at least 18 years of age and a resident of Canada to use Futurestate Realty. As per Canadian securities regulations, you must comply with all applicable provincial securities laws and the regulations of the Ontario Securities Commission. You represent and warrant that you have the legal capacity to enter into binding agreements and that you have not been restricted from investing in securities by any regulatory authority.

To invest on the platform, you must complete our account registration and Know Your Customer (KYC) verification process. You agree to provide accurate, current, and complete information during registration, including personal identification documents and proof of residence. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Futurestate Realty reserves the right to suspend or terminate accounts that fail KYC verification or provide false information.

Futurestate Realty facilitates the purchase and trading of fractional real estate tokens representing ownership interests in commercial properties. These are not traditional mutual funds or exchange-traded funds. You acknowledge that tokenized real estate investments are complex and may carry significant risks including market volatility, liquidity constraints, and regulatory changes. All investment opportunities are presented for informational purposes, and Futurestate Realty does not provide personalized investment advice. You should conduct your own due diligence and consult with qualified financial and legal advisors before making investment decisions.

The EDGE token is a utility token that grants governance rights and participation incentives on the Futurestate Realty platform. The EDGE token is not classified as a security and does not represent ownership in Futurestate Realty Inc. or any underlying asset. EDGE token holders may participate in platform governance decisions and earn rewards through staking and platform activities. The value of EDGE tokens may fluctuate and is subject to market conditions. Token holders acknowledge that utility tokens carry speculative risk and may lose value entirely.

You agree to pay all applicable fees for using the platform, including trading fees (typically 0.5-1.0% per transaction), asset management fees (typically 0.5-1.5% annually), and other fees as disclosed in the property prospectuses. All fees are deducted from your account and are final. Payment must be made through approved payment processors including Solana blockchain transfers. You are responsible for any network fees, gas fees, or third-party payment processor fees. Futurestate Realty reserves the right to modify fees with 30 days' notice to registered users.

All content on the Futurestate Realty platform, including text, graphics, logos, images, and software, is the property of Futurestate Realty Inc. or its licensors and is protected by copyright and intellectual property laws. You may not reproduce, distribute, transmit, or display any content without the express written permission of Futurestate Realty. Except as permitted by applicable law, you agree not to reverse engineer, decompile, or disassemble any software or code on the platform. All rights not expressly granted are reserved to Futurestate Realty.

To the fullest extent permitted by law, Futurestate Realty shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of profits, loss of data, or loss of investment value. Our total liability shall not exceed the total amount you have invested through the platform in the 12 months preceding the claim. This limitation applies regardless of the form of action or basis of the claim, whether in contract, tort, statute, or otherwise. Some jurisdictions may not permit limitations of liability, so this limitation may not apply to you.

These Terms of Service are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. You irrevocably submit to the jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes. All claims, disputes, and lawsuits arising from or relating to your use of the platform must be brought within one year of the cause of action or be forever barred. You agree to indemnify and hold harmless Futurestate Realty from any claims arising from your breach of these terms or violation of applicable laws.
